The HSP represents and warrants that:. This Agreement may be executed and delivered in any number of counterparts and by way of electronic signature and delivery , each such counterpart, when executed and delivered, shall be deemed an original , and all of which together shall constitute the same agreement. The execution , delivery and performance of this Agreement and the completion of the transactions contemplated by this Agreement have been authorized by all necessary corporate action on the part of each of Purchaser and Seller and no other corporate proceedings or approvals are required to authorize this Agreement or to consummate the transactions contemplated by this Agreement.
